These Terms of Service (“Terms”) govern access to and use of the Hospinova platform and services (“Service”) provided by Sphere Web Hosting LLC (“Company”, “we”, “us”, or “our”).
By accessing or using the Service, you (“Customer”, “you”) agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. About Hospinova
Hospinova is a cloud-based Software-as-a-Service (SaaS) platform providing interactive TV and in-room digital experience solutions for hotels and hospitality providers. The Service is delivered digitally and managed remotely.
Hospinova may operate in collaboration with third-party technology partners, including Nonius – Engenharia de Redes, S.A., for infrastructure and system integration purposes.
2. Eligibility and Business Use
The Service is intended exclusively for business customers (B2B). By using the Service, you represent that you are acting on behalf of a legally registered business and have authority to bind that business to these Terms.
3. Account Registration
To access the Service, you may be required to create an account. You agree to:
- Provide accurate and complete information
- Maintain the confidentiality of account credentials
- Notify us immediately of any unauthorized access
You are responsible for all activity that occurs under your account.
4. Subscription, Fees, and Payments
4.1 Subscription Model
Hospinova is offered on a subscription basis. Subscription details, pricing, billing cycles, and payment methods are presented during checkout or in a separate agreement.
4.2 Payments
Payments may be processed by authorized third-party payment providers acting as merchants of record.
4.3 Taxes
All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any applicable VAT, sales tax, or similar charges.
4.4 Refunds
Refunds, if any, are governed by the applicable refund policy or subscription agreement.
5. License and Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations.
You may not:
- Copy, modify, or distribute the Service
- Reverse engineer or attempt to extract source code
- Use the Service for unlawful or unauthorized purposes
- Resell or sublicense the Service without written permission
6. Customer Content
You retain ownership of all content, branding, and data you upload or display through the Service (“Customer Content”).
You grant Sphere Web LLC a limited right to use Customer Content solely to operate, maintain, and improve the Service.
You are responsible for ensuring that Customer Content does not violate any laws or third-party rights.
7. Third-Party Services and Integrations
The Service may integrate with third-party platforms, systems, or hardware. We are not responsible for the availability, performance, or compliance of third-party services.
Use of third-party services is subject to their respective terms and policies.
8. Service Availability and Support
We aim to provide reliable access to the Service but do not guarantee uninterrupted or error-free operation.
Maintenance, updates, or technical issues may occasionally result in temporary service interruptions.
Support services, if offered, are provided according to the applicable support plan or agreement.
9. Intellectual Property
All intellectual property rights in the Service, including software, designs, trademarks, and documentation, are owned by or licensed to Sphere Web LLC.
Nothing in these Terms transfers ownership of any intellectual property to you.
10. Confidentiality
Each party agrees to keep confidential any non-public, proprietary, or sensitive information received from the other party in connection with the Service.
This obligation survives termination of these Terms.
11. Termination
We may suspend or terminate access to the Service if you:
- Breach these Terms
- Fail to pay applicable fees
- Use the Service in a manner that causes legal or security risk
Upon termination, your right to use the Service will immediately cease.
12. Disclaimer of Warranties
The Service is provided “as is” and “as available.”
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
13. Limitation of Liability
To the maximum extent permitted by law, Sphere Web LLC shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
Our total liability shall not exceed the fees paid by you for the Service in the preceding twelve (12) months.
14. Indemnification
You agree to indemnify and hold harmless Sphere Web LLC from any claims, damages, or liabilities arising from:
- Your use of the Service
- Your Customer Content
- Violation of these Terms or applicable laws
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.
16. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
